Acceptance

The Grace Club services ("Services") offered by Exquisite through the application are subject to these Terms and Conditions. Accessing or using the application signifies your agreement to these terms. If you do not accept these Terms and Conditions, refrain from using the application.

Use of Application Materials

The Grace Club application is developed by Exquisite to share information about its company, products, and loyalty programs. Materials from the application may be copied, downloaded, or printed for non-commercial, personal use only, provided proprietary and intellectual property rights are preserved. All other uses require prior written consent from Exquisite.

Trademarks

The application contains valuable trademarks and service marks owned by or licensed to Exquisite. These are protected by national and international laws and may not be used without explicit written approval.

Copyright

All content within the application, including text, images, and software, is owned or licensed by Exquisite and may not be reproduced, distributed, or used commercially without prior written consent.

You agree not to use the application to:

• Post or share content encouraging illegal activity or civil liability.
• Violate laws or negatively impact Exquisite or its users.
• Disrupt the application’s funstyle="list-style-type: square"ctionality using unauthorized software or methods.
• Modify, decompile, or reverse-engineer any part of the application.
• Exploit the application beyond its intended purpose.

Membership is available to individuals 18 years or older. By enrolling, members confirm their age and agree to the program’s terms.

• Provide accurate information during registration.
• Maintain the confidentiality of your password and account.
• Notify Exquisite immediately of unauthorized account activity.

Exquisite is not responsible for losses incurred due to unauthorized account use.

All information provided on the application or linked platforms is general and not a substitute for professional advice. Content is provided "as is" without warranties regarding reliability, accuracy, or completeness.

Exquisite does not guarantee uninterrupted or error-free access and reserves the right to modify or discontinue services without notice.

Ensure that your use of the application complies with applicable laws. Take precautions to protect your devices from viruses or malicious software. Exquisite is not liable for damages arising from your use of the application or linked platforms.

You acknowledge and agree that Exquisite and its affiliates shall not be held responsible for any damages of any kind, including but not limited to direct, indirect, incidental, consequential, special, or exemplary damages, or any loss of profits, data, business, savings, goodwill, or other intangible assets. This applies whether or not Exquisite was advised of the potential for such damages, arising from:

1. the use, inability to use, or performance of the application or website;
2. any matter relating to the application, website, or its content; or
3. the collection, usage, transfer, processing, or storage of personal information obtained through the application or website.

Certain jurisdictions may not permit the exclusion or limitation of warranties or liabilities, so these exclusions may not apply to you.

You agree to indemnify, defend, and hold harmless Exquisite, its affiliates, subsidiaries, officers, directors, employees, agents, and contractors ("Indemnitees") from any liabilities, claims, costs, and expenses (including legal fees) arising from:

• Any violation of the Website/App Terms and Conditions.
• Your use of the Website/App or its content.
• Legal or governmental actions requiring Exquisite to produce records or individuals in matters where Exquisite is not a party.

You also release the Indemnitees from any liability related to errors, omissions, interruptions, defects, delays, or malfunctions associated with the application or website.

You agree to comply with all applicable local and international laws, including those governing the internet, data, email, intellectual property, and privacy. Additionally, you agree to adhere to laws regarding the transmission of technical data exported from your country of residence or employment.

These Terms of Use and the Privacy Policy are governed by the laws of the applicable country where your personal information is registered with Exquisite. Any disputes will be resolved exclusively in the courts of that country

Membership and Points Accrual

1. Membership is issued upon enrollment using your mobile number, which acts as your membership ID.
2. Exquisite reserves the right to cancel or revoke memberships, deny Grace Club points, or refuse redemption in cases of policy violation or non-payment.
3. Use of your membership card or mobile number to earn points constitutes acceptance of these terms.

Membership Revocation

1. Membership may be revoked without notice for acts of fraud, misuse, or other violations. Accrued points will also be forfeited.

Program Modifications

1. Exquisite reserves the right to change, suspend, or discontinue the program or its terms without prior notice. Members must regularly review and accept updated terms.

Points Usage and Accuracy

1. Exquisite may modify point accrual and redemption criteria and will make efforts to provide advance notice.
2. Members are responsible for ensuring their account details, including mobile number and email, are accurate. Points cannot be retroactively adjusted for errors.

Security and Communication

1. Only personal contact details should be associated with the membership. Unauthorized use or misuse of membership is the responsibility of the member.

App and Digital Access

1. The Grace Club app allows access to your account, points, and transactions. Members are responsible for related device costs.

Liability and Legal Jurisdiction

1. Exquisite is not liable for any direct or indirect loss due to program termination or changes.
2. Program terms are governed by the laws of the issuing country, with disputes resolved in local courts.
3. The most current terms as published on the Grace Club app take precedence and are binding.

1. The Grace Club membership remains the property of Exquisite Group, and you will act as the custodian of this membership.
2. Membership is available only to individuals aged 14 or older on the date of application. By enrolling in the program, whether in-store or online, you confirm that you meet the age requirement and agree to the program’s terms and conditions.
3. Membership is non-transferable and is exclusively for use by you, the authorized member. You may cancel your membership at any time by sending written notice to Exquisite.
4. Membership is free of charge and does not grant access to corporate benefits or memberships.
5. Membership is granted at the discretion of Exquisite Group, and all decisions regarding the Grace Club membership are final.
6. If a member does not make any transactions for a 12-month period, they will be classified as 'Inactive.' Inactive members will not receive communications. To maintain Active status, ensure at least one transaction per year. Inactive members will be reactivated after their next transaction. Exquisite reserves the right to terminate membership for those inactive for 24 months from their last transaction involving Grace Club points.
7. A member may only hold one valid Grace Club membership at any time. If multiple memberships are found, Exquisite reserves the right to cancel them and invalidate any points earned.
